BINDING CONTRACT AND GOVERNING LAW
1.1 "Bespoke Goods" means any furniture or items manufactured, modified, or customized to unique dimensional, material, or design specifications requested by the Client.
1.2 A binding contract is formed only when the Client has provided written approval of the final design specifications and the Company has received the Full Upfront Payment (as defined below).
1.3 These Terms are governed by the laws of [Insert Jurisdiction: England and Wales / Scotland / Northern Ireland] and the parties submit to the exclusive jurisdiction of the courts of that region. -
DESIGN APPROVAL, TOLERANCES, AND MATERIAL VARIATIONS
2.1 Client Responsibility: The Client is solely responsible for ensuring that all dimensions, measurements, styles, colors, and finishes detailed in the final design drawings, quotes, or specification sheets are completely accurate.
2.2 Final Sign-Off: No production, material sourcing, or scheduling will commence until the Client provides written or electronic approval ("Sign-Off") of the final specification or Computer-Aided Design (CAD) drawings.
2.3 Natural Variations: The Client acknowledges that wood, timber, stone, leather, and metal are natural materials. Variations in grain, texture, color tones, knots, and natural markings are inherent characteristics and shall not be considered defects.
2.4 Technical Tolerances: Because our products are made-to-measure by hand, a manufacturing tolerance of up to plus or minus [e.g., 5mm] from the agreed dimensions is standard and acceptable. -
SINGLE FULL UPFRONT PAYMENT TERMS
3.1 Single One-Time Payment: The Client must pay one hundred percent (100%) of the total quoted price, including all applicable taxes and delivery fees, as a single, one-time payment ("Full Payment") before any order is officially accepted, materials are ordered, or manufacturing begins. No partial payments, stages, or installments are accepted.
3.2 Cleared Funds & Scheduling: No production slots will be locked into the workshop schedule until the Full Payment has completely cleared in the Company’s bank account.
3.3 Retention of Title: Title and ownership of the Bespoke Goods shall not pass to the Client until the Company has received the Full Payment in cleared funds and delivery has occurred. -
CANCELLATIONS, ALTERATIONS, AND REFUNDS
4.1 Custom Goods Exemption: The Client acknowledges that because the goods are manufactured explicitly to unique specifications, they are entirely exempt from standard statutory consumer cooling-off return periods or "change of mind" refund rights under the UK Consumer Contracts Regulations.
4.2 All Sales Are Final: Once the single Full Payment is received and final Sign-Off is provided, the contract cannot be canceled, and all funds paid are strictly non-refundable.
4.3 Post-Sign-Off Changes: Any requests for modifications after Sign-Off are at the sole discretion of the Company. If modifications are accepted, they will be subject to additional charges covering wasted materials and administrative time, payable immediately. -
DELIVERY, SURCHARGES, AND SITE ACCESS
5.1 Access Guarantee: The Client guarantees that the Bespoke Goods can physically fit through all entryways, corridors, doors, lifts, and stairwells leading to the final designated room.
5.2 Delivery Failures: If the Bespoke Goods cannot fit into the property or access is obstructed, the Company remains entitled to retain the Full Payment, and the Client remains fully liable for the order. Any redelivery, modification, or storage costs will be billed exclusively to the Client.
5.3 Storage Fees: If the Client postpones delivery beyond the agreed completion date, the Company reserves the right to charge a daily storage fee of [Insert Currency Amount] per day after [e.g., 7 days] of notification.
5.4 Surcharges for Remote and Offshore Deliveries: The standard delivery rates quoted by the Company exclude deliveries to remote, offshore, and extended delivery zones.
